PRELIMINARY BUSINESS TERMS
Waysdoo Hotel Partner Program
These preliminary terms describe the intended working relationship between Waysdoo and a participating hotel or accommodation provider (“Partner”). A final signed agreement may add or change provisions after legal review.
1. Program purpose
Waysdoo may display approved Partner properties and route traveler booking requests to the Partner. The Partner controls its rooms, availability, prices, property rules, and final acceptance of every request.
2. Commission
The proposed Waysdoo commission is 12% of the room subtotal for a completed, qualifying stay. Taxes, government charges, resort fees, cleaning fees, mandatory property fees, refunded amounts, cancellations, and no-shows are excluded unless a later signed agreement states otherwise.
3. When commission is earned
Commission is earned only after the traveler completes the stay and the booking is recorded as completed. A cancelled or fully refunded reservation does not earn commission.
4. No setup fee
There is no charge to apply and no setup fee. Any future optional advertising or enhanced placement must be separately agreed to in writing.
5. Partner responsibilities
- Provide truthful, current information about the property, rooms, rates, fees, availability, amenities, and policies.
- Respond promptly to booking requests and keep reservation status accurate.
- Handle guest check-in, property operations, changes, cancellations, refunds, customer service, licensing, taxes, insurance, and legal obligations relating to the stay.
6. Waysdoo responsibilities
Waysdoo will provide the partner application process and, after approval, a panel for the Partner to review its booking requests. Waysdoo does not guarantee any booking volume or revenue.
7. Customer payments
The initial program does not make Waysdoo the merchant of record. Payment collection and any payment dispute process remain with the Partner unless a future written agreement says otherwise.
8. Listing standards
Waysdoo may decline, suspend, edit, or remove a listing where information is inaccurate, a property creates traveler-safety concerns, or a Partner violates these terms.
9. Confidentiality and data
Each party will use traveler information only to service the related reservation and must protect it under applicable privacy and data-security requirements. Partners may not sell or use traveler information for unrelated marketing without the traveler’s permission.
10. Term and ending the relationship
The intended initial term is 12 months. Either party may end participation with 30 days’ written notice. Waysdoo may suspend a listing immediately for fraud, safety, legal, or material accuracy concerns.
11. Independent businesses
The parties are independent businesses. These terms do not create an employment, franchise, or joint-venture relationship.
12. Final agreement
This page is a preliminary business draft, not a substitute for legal advice. Before accepting live traveler bookings, Waysdoo and each approved Partner should use a final agreement reviewed by counsel.
